  • Preparatory phase: definition of the sell-side strategy, preparation of marketing materials (teaser and information memorandum), targeting of potential counterparties, preparation of the data room, supervision of Vendor Due Diligence.
     
  • Marketing: making contact with potential buyers and signing the non-disclosure agreement, sending the information memorandum, managing the relationship with the buyers (Q&A, agenda control), negotiating preliminary offers (LOI), selecting candidates for the second round.
     
  • Due Diligence and Negotiations: organisation and preparation of management presentations, organisation of site visits, data room management, negotiation of binding offers, assistance in raising debt, selection of the buyer for exclusivity.
