We provide our clients with comprehensive support:
- Preparatory phase: definition of the sell-side strategy, preparation of marketing materials (teaser and information memorandum), targeting of potential counterparties, preparation of the data room, supervision of Vendor Due Diligence.
- Marketing: making contact with potential buyers and signing the non-disclosure agreement, sending the information memorandum, managing the relationship with the buyers (Q&A, agenda control), negotiating preliminary offers (LOI), selecting candidates for the second round.
- Due Diligence and Negotiations: organisation and preparation of management presentations, organisation of site visits, data room management, negotiation of binding offers, assistance in raising debt, selection of the buyer for exclusivity.
- Exclusivity and Final negotiations: review of legal materials, coordination with lawyers, assistance in negotiating the share purchase agreements, asset and liability guarantees, and, if applicable, shareholders’ agreements, signing & closing
