Top Industrie is specialized in the production of very high-pressure autoclaves designed to perform chemical reactions on gases, fluids or materials. This equipment is generally used by R&D laboratories and test centers. The main underlying industries are chemicals, energy, pharmaceuticals, cosmetics and the national defense. The company generates sales revenue of over €10 million, more than half of which is exported.
The company has experienced a strong growth under the leadership of Gildas Merian, having himself acquired Top Industrie from its founder in 2010. He notably ensured the international development. Today, Top Industrie has offices in China, Russia, Brazil, and Germany.
On the occasion of this transaction, Gildas Merian is supporting the new general managers during a transition period. The priority strategic axis is the pursuit of exports as many countries are still little prospected.
The support of Trianon CF covered in particular the writing of the information memorandum, the drafting of a business plan, the identification of potential buyers, the defense of the seller’s interests, the management of the dataroom, as well as the coordination of all parties involved in the transaction.
« I acquired Top Industrie ten years ago and I put it on an international development axis with first promising results but a major deployment still to be continued.
A year ago, I made the decision to sell the company and decided to have an advisor. My choice fell on Trianon CF, in particular because this firm operates on a wide spectrum of counterparties: industrial in France and abroad or financial in the form of LBO / LBI. It was finally the encounter with a duo of external managers backed by the Adaxtra Capital investment fund that convinced me and I therefore decided to sell the company to them.
I particularly appreciated the close support of Trianon CF throughout the stages of the transaction. » Gildas Merian
